Agreement: By accessing or using HishabX, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our platform.
01 Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", or "Business") and HishabX ("Company", "we", "us", or "our") governing your use of the HishabX platform, including all software, services, and related documentation.
By creating an account, accessing the platform, or using any HishabX service, you confirm that you are at least 18 years of age, have the legal authority to bind your business to these Terms, and agree to comply with all provisions herein.
02 Description of Service
HishabX provides a cloud-based Point of Sale (POS) and Enterprise Resource Planning (ERP) software platform designed for businesses in Bangladesh, including pharmacy, supershop, retail, wholesale, and restaurant sectors. Our services include:
- POS billing and transaction management software.
- Inventory and stock management modules.
- Customer and employee management tools.
- VAT, tax, and financial reporting features.
- Barcode scanning and label printing integration.
- Cloud synchronisation across multiple business branches.
- Analytics dashboard and business intelligence tools.
- Customer support and onboarding assistance.
We reserve the right to modify, suspend, or discontinue any feature or service with reasonable prior notice to active subscribers.
03 Account Registration
To use HishabX, you must register for an account by providing accurate and complete business and contact information. You are responsible for:
- Maintaining the confidentiality of your account credentials and password.
- All activities that occur under your account, whether authorised or not.
- Immediately notifying HishabX of any suspected unauthorised access to your account.
- Ensuring that all account information remains accurate and up to date.
One business per account: Each subscription is for a single business entity. Multi-branch use is available under appropriate plans. Sharing account credentials with external parties is strictly prohibited.
04 Subscription & Payment
HishabX operates on a subscription model. By subscribing, you agree to the following payment terms:
- Billing Cycle: Subscriptions are billed monthly or annually, as selected at the time of purchase.
- Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled at least 7 days before the renewal date.
- Price Changes: We reserve the right to change subscription prices. You will be notified at least 30 days before any price increase takes effect.
- Refund Policy: We offer a 14-day money-back guarantee for new subscriptions. No refunds are issued after this period, except in cases of verified platform failure on our part.
- Late Payment: Accounts with overdue payments may be suspended after a 7-day grace period and terminated after 30 days of non-payment.
- Taxes: Subscription prices are exclusive of applicable VAT or government taxes, which will be added where required by law.
05 Acceptable Use
You agree to use HishabX only for lawful business purposes and in compliance with all applicable laws and regulations. The following activities are strictly prohibited:
- Using HishabX to process fraudulent transactions or engage in money laundering.
- Attempting to reverse engineer, decompile, or copy any part of the HishabX platform.
- Using the platform to store or transmit malware, viruses, or malicious code.
- Attempting to gain unauthorised access to our systems or other users' accounts.
- Reselling, sublicensing, or redistributing HishabX access without written permission.
- Overloading our infrastructure through automated requests or denial-of-service attacks.
- Using HishabX in any way that violates Bangladesh law or applicable regulations.
Violation of these terms may result in immediate account suspension or termination without refund, and may be reported to relevant authorities where required by law.
06 Intellectual Property
HishabX and all its components — including software, design, trademarks, logos, documentation, and features — are the exclusive intellectual property of HishabX and are protected under applicable intellectual property laws.
- Your subscription grants you a limited, non-exclusive, non-transferable licence to use HishabX for your internal business purposes only.
- You may not copy, modify, distribute, or create derivative works from any part of the HishabX platform.
- The HishabX name, logo, and brand identity may not be used without prior written permission.
Any feedback, suggestions, or feature requests you provide may be used by HishabX to improve the platform without obligation to compensate you.
07 Data Ownership
You own all business data you create, import, or upload to HishabX, including customer records, transaction history, inventory data, and financial reports.
- HishabX does not claim ownership of your business data.
- You grant HishabX a limited licence to store, process, and transmit your data solely to provide the services you have subscribed to.
- You may export your data at any time in standard formats from within the platform.
- Upon account termination, you will have 60 days to export your data before it is permanently deleted from our servers.

08 Service Availability
We are committed to maintaining high service availability and target a 99.9% monthly uptime for the HishabX platform. However:
- We do not guarantee uninterrupted access and may perform scheduled maintenance with prior notice.
- Emergency maintenance may be performed without advance notice in the event of security threats or critical failures.
- HishabX is not liable for downtime caused by third-party services, internet infrastructure failures, or events beyond our reasonable control.
- Service credits may be provided for verified downtime exceeding our SLA targets, at our discretion.
09 Limitation of Liability
To the maximum extent permitted by applicable law, HishabX and its directors, employees, and partners shall not be liable for:
- Indirect, incidental, special, or consequential damages arising from your use of the platform.
- Loss of profits, revenue, data, or business opportunities.
- Errors or inaccuracies in data generated or reported by the platform.
- Unauthorised access to or alteration of your data due to factors outside our reasonable control.
Maximum liability: Our total liability to you for any claim arising from these Terms shall not exceed the amount you paid to HishabX in the 3 months immediately preceding the event giving rise to the claim.
10 Termination
Either party may terminate the subscription at any time under the following conditions:
- By You: Cancel your subscription at any time through account settings or by contacting support. Access continues until the end of the current billing period.
- By HishabX: We may suspend or terminate your account immediately for breach of these Terms, non-payment, or fraudulent activity, with or without prior notice depending on severity.
- Data After Termination: You will have 60 days to export your data following account termination. After this period, all data will be permanently deleted.
- Effect of Termination: All licences granted under these Terms will immediately cease upon termination.
11 Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to its conflict of law provisions.
Any legal disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Bangladesh. Both parties agree to first attempt to resolve disputes through good-faith negotiation before resorting to formal legal proceedings.
